Cadence from Upgraded Terms of Service

Last updated: 27 June 2026

1. About Cadence

Cadence, published as "Cadence from Upgraded", is a social content platform operated by Upgraded Co Pty Ltd (ABN 82 655 679 404) ("Upgraded", "we", "us"). Cadence generates, schedules, and publishes social media content on behalf of connected business accounts across platforms including Instagram, Facebook, TikTok, LinkedIn, Pinterest, and others.

By accessing or using Cadence you agree to these Terms of Service. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old and authorised to act on behalf of any business account you connect to Cadence. By connecting a social media account, you confirm you have the authority to grant Cadence the permissions required to publish content on that account.

3. Account and platform connections

Cadence connects to third-party platforms (Meta, TikTok, LinkedIn, Google, and others) via OAuth. You authorise Cadence to post content, read performance data, and manage connected accounts as described in the permissions granted during each connection flow.

You remain responsible for all content published through Cadence and for compliance with the terms and community standards of each connected platform.

You can disconnect any platform at any time from the Cadence Settings page. Disconnecting revokes Cadence's access to that account. Content already published is not affected.

4. Acceptable use

You agree not to use Cadence to:

  • Publish content that is unlawful, defamatory, harassing, or deceptive
  • Violate the terms of service of any connected platform
  • Publish spam, manipulative, or coordinated inauthentic behaviour
  • Infringe on the intellectual property rights of others
  • Attempt to circumvent platform policies or API usage limits

We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription and billing

Cadence is available on a monthly subscription basis. Pricing is displayed at signup and in your account settings. All prices are in Australian dollars (AUD) and exclude GST unless stated otherwise.

Subscriptions renew automatically each month. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods.

Founding cohort members who joined during the pre-launch period have their pricing locked for the life of their subscription.

6. AI-generated content

Cadence uses artificial intelligence to generate captions, images, and other content. You are responsible for reviewing content before it is published and for ensuring it is accurate, appropriate, and compliant with applicable laws and platform policies.

You own the content generated for your account. We do not claim ownership over content produced on your behalf.

7. Intellectual property

Cadence, its platform, software, and branding are owned by Upgraded Co Pty Ltd. You are granted a limited, non-exclusive licence to use the platform for your business purposes. You may not copy, reverse-engineer, or resell the platform or any part of it.

8. Limitation of liability

To the maximum extent permitted by law, Upgraded Co Pty Ltd is not liable for any indirect, incidental, or consequential loss arising from your use of Cadence, including but not limited to loss of revenue, data, or business opportunity.

Our total liability to you in any calendar month shall not exceed the subscription fee paid in that month.

9. Changes to these terms

We may update these terms from time to time. We will notify you by email at least 14 days before material changes take effect. Continued use of Cadence after that date constitutes acceptance of the updated terms.

10. Governing law

These terms are governed by the laws of Queensland, Australia. Disputes are subject to the exclusive jurisdiction of the courts of Queensland.
